Terms of Service

Important: This document is a practical SaaS terms template for GemFlow. It is not legal advice. Have it reviewed by qualified counsel in your jurisdiction before you rely on it with paying customers.

Effective date: you should insert the date you publish these terms.

1. Who we are

“GemFlow”, “we”, “us” means the entity operating this service (insert your legal name, company number, and registered address). “You” means the organisation or individual that registers an account and uses GemFlow.

2. The service

GemFlow is a cloud software product for jewellery and atelier studios to manage commissions, tasks, clients, files, and related workflows. We grant you a non-exclusive, non-transferable right to use the service during your subscription, subject to these terms and fair use. We may modify or discontinue features where reasonably necessary (for example for security, compliance, or reliability), and will give reasonable notice for material changes where practicable.

3. Accounts and access

You must provide accurate registration information and keep credentials secure. You are responsible for activity under your accounts, including actions by staff you invite. You must not misuse the service (for example: probing or circumventing security, overloading systems, distributing malware, or using the service in violation of law).

4. Your data

You retain rights to content and personal data you submit (“Customer Data”). You grant us a licence to host, process, and display Customer Data only to provide and improve the service, secure it, and comply with law. You represent that you have the rights and, where required, consents to submit Customer Data. Our Privacy Policy describes how we handle personal data in more detail.

5. Subscription, fees, and taxes

Fees are as shown at checkout or in your order form. Unless stated otherwise, subscriptions renew automatically until cancelled. You authorise us (via our payment processor) to charge applicable fees and taxes. Failure to pay may result in suspension or termination of access. Downgrades or cancellations take effect at the end of the current billing period unless your plan or contract says otherwise.

6. Third-party services

GemFlow may integrate with third parties (for example email or scheduling providers). Those services have their own terms. We are not responsible for third-party failures, but we will use reasonable efforts to maintain documented integrations in working order.

7. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and only use it for the purpose of the agreement, except where disclosure is required by law.

8. Warranties and disclaimer

The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties (including merchantability, fitness for a particular purpose, and non-infringement). We do not warrant that the service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data; and (b) our total liability arising out of these terms is limited to the amounts you paid us in the twelve (12) months before the claim (or, if none, fifty pounds sterling). Nothing limits liability that cannot be limited by law (including death or personal injury caused by negligence, fraud, or deliberate default).

10. Indemnity

You will defend and indemnify us against claims arising from Customer Data, your use of the service in breach of these terms, or your violation of third-party rights or law, except to the extent caused by our breach or negligence.

11. Term and termination

These terms apply from first use and continue until terminated. You may stop using the service at any time. We may suspend or terminate access for material breach (including non-payment) after notice where reasonable. On termination, your right to use the service ends. We may delete Customer Data after a stated retention period; you should export data beforehand where the product allows.

12. Governing law

Insert governing law and courts (for example England and Wales). If you sell across borders, seek advice on consumer and B2B rules in each market.
